End User License Agreement

The following terms of use, including the terms of our Privacy Policy (the "Terms"), constitute the legal agreement which governs and applies to your use of our website (the "Site"), the QEDIT for Spreadsheets add-in, distributed and installed through Microsoft AppSource store (the "Add-In") and any other product, software, solution, tool, mobile application, service, or feature (together with the Site and the Add-In, the "Platform"), operated, maintained or owned by Qed-it Systems Ltd. ("QEDIT").

The Terms set forth herein apply to any content and information that are or become available on the Platform (collectively, the "Content"). By accessing and/or using the Platform, you acknowledge that you have read and that you agree to be bound by the Terms, without any limitation or qualification. If you do not agree to the Terms, do not connect to, access or use the Platform in any manner whatsoever. The Platform is available only to individuals who possess the legal authority to enter into these Terms and to form a binding agreement under any applicable law.

1. USE OF THE PLATFORM.
If you use our Add-In, you will be required to create an account and register by either providing your full name and email address and creating a password, or providing your Google or Microsoft account's username and password. Any use of your Information will be made in accordance with our Privacy Policy. Please provide us with accurate, complete and up-to-date registration details. Filling in the details will serve as evidence of their truthfulness and accuracy.

Unless otherwise explicitly permitted under these Terms or in writing by QEDIT, you may not (and you may not permit anyone to): (a) infringe and/or violate any of the Terms; (b) use the Platform for any purpose for which the Platform is not intended, including without limitation a purpose which is illegal and/or in violation of any law, regulation and/or statutory provision, including use which constitutes or may constitute an infringement of privacy, copyright infringement, unjust enrichment, or any other unlawful use; (c) bypasses the means used by QEDIT to protect user privacy; (d) make use of the Platform which is intended to transmit or otherwise make accessible any virus, worm, Trojan horse, bug, spyware, malware, or any other computer code, file, application or software that may damage, interrupt or interfere with the Platform; (e) distribute, modify, transmit, reuse, repost, publicize, use, reproduce, create derivative works of, reverse engineer, adapt, emulate, translate, compile, decompile, or disassemble the Platform or the services contained therein (or any part thereof); (f) copy and use, or permit others to use, in any manner or form, the Content, for any purpose that is not personal use, unless QEDIT expressly provide its advance written consent, and subject to the terms of such consent (to the extent given), or display the Content in any way, including by a way that changes or disrupts any Content, especially not for advertising, marketing or commercial use of any kind; and/or (g) create a database by systematically downloading and storing all or part of the Content thereof, including by way of automated data mining tools, crawlers, information scanning technologies, automatic retrieval or collection of information from the Platform, and the like.

Use of the Platform or the Content in violation to these Terms is strictly prohibited. Your failure to comply with the provisions set forth may expose you to civil and/or criminal liability.

The Add-In and the services contained therein are offered in the current version of the Add-In without payment from you. QEDIT reserves the right to charge for the use of the Add-In or the services contained therein in the future, subject to any applicable law.

2. TITLE AND OWNERSHIP.
The Platform, its content and the services offered thereby, any revisions, corrections, modifications, enhancements or improvements thereto and all intellectual property rights relating thereto, including trademarks, trade names, logos, service marks, patents, copyrights or trade secret displayed on, embodied in, attached or connected or related to the Platform (collectively, the "Intellectual Property") are owned or licensed QEDIT and are protected by intellectual property law in the United States, Israel and worldwide. You should assume that everything you see or read on the Platform is copyrighted and may not be used without the written permission of QEDIT, except as specifically provided in these Terms or in the text on the Platform. Nothing in these Terms constitutes a waiver of QEDIT Intellectual Property rights under any law.

QEDIT grants you a limited, revocable, non-exclusive and non-assignable right to use the Platform on an individual basis only, subject to and in accordance with these Terms. Nothing contained on the Platform should be construed as granting, by implication, estoppel, or otherwise, any license, interest or right to use any Intellectual Property without the written permission of QEDIT or such licensors that may own the Intellectual Property, except those rights expressly granted to you in these Terms.

3. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY.
The Platform and the content available therein are provided on an "as is" and "as available" basis, without warranty of any kind. QEDIT will not be liable for any damages or loss incurred by you or any other person as a result of or in connection with your use of the Platform and/or the content available therein. QEDIT will not be liable for any indirect, special, incidental, or consequential damages of any type including, without limitation, damages for loss of goodwill, data or profits, business interruption, computer failure or malfunction, destruction, failure to secure or prevent theft of Information, the existence of viruses, spyware, loss of income, penalties, losses or expenses, or any and all other commercial damages or losses, incurred as a result of: (a) use of the Platform; (b) the inability to use the Platform or the services contained therein; or (c) any display or publication of content appearing or contained on or entered into the Platform. QEDIT disclaims all warranties, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. QEDIT further does not represent or warrant that the Platform will always be available, accessible, functional, uninterrupted, secure, accurate, complete and error-free. QEDIT assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect your computer equipment or other property on account of your access to, use of, or browsing in the Platform or your use of any content.

QEDIT maintains the Site as a service to the internet community. The Site has been designed to provide general information about QEDIT and its products and/or services. You should not construe anything on the Site as a promotion or advertisement for any product and/or services or for the use of any product and/or services that is not authorized by the laws and regulations of your country of residence.

The Add-In allows you to compare sensitive lists with others and find matches without sharing data with anyone (including QEDIT). QEDIT, nor any other entity on its behalf, shall not be liable for any exposure or publication of the data entered into the Add-In to any other party due to any malfunction or defect in the Add-In or after information is transmitted to third parties in accordance with QEDIT's Privacy Policy, except for gross negligence or intentional wrongful misconduct on the part of QEDIT or any of its employees.

Your use of the Platform and/or the content available therein is entirely at your own risk. QEDIT assumes no responsibility or liability arising from any Content on the Platform (including opinions, advice, statements, services, offers, or other promises, representations or warranties).

In the event that exclusion or limitation of liability in respect of certain damages is not permitted by law, QEDIT's liability shall be limited to the maximum extent permitted by applicable law.

The limitation of liability set forth herein applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if QEDIT has been advised of the possibility of such damage.

4. LINKS.
The Platform may include links to websites maintained or controlled by third parties. QEDIT is not responsible or liable for the contents of or use of any of the products or services that may be offered at these websites. Your access to, use of and reliance upon any such websites, services and content and your dealings with such third parties are at your sole risk and expense. QEDIT reserves the right to remove any link at any time.

5. INFORMATION.
Before any use of the Platform, please read carefully the terms of QEDIT's Privacy Policy.

Except for information covered by QEDIT's Privacy Policy, any communication or material you transmit to the Site by electronic mail or otherwise, including any data, questions, comments, suggestions or the like is, and will be treated as, non-confidential and nonproprietary. Furthermore, QEDIT is free to use, without compensation to you, any ideas, concepts, know-how, or techniques contained in any communication you send to the Site by electronic mail or otherwise for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products using such information.

6. CHANGES TO THE PLATFORM AND/OR THE TERMS.
QEDIT may, at its sole discretion, change, modify, add to or delete any of the terms and conditions of these Terms, and/or the Content and/or the Platform at any time, without any prior notice. The continued use of the Platform, following any change to these Terms, constitutes the complete and irrevocable acceptance of any such change.

7. TERMINATION.
At any time, QEDIT may discontinue the use of the Platform, or any part thereof, at QEDIT's sole discretion, with or without any reason or prior notice.

8. MISCELLANEOUS.
If any provision of these Terms is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable and such decision shall not affect the enforceability of such provision under other circumstances, or of the remaining provisions hereof under all circumstances.

These Terms do not, and shall not be construed to create any relationship between QEDIT and you.

No waiver by QEDIT of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default. Delay or failure to perform any act that QEDIT may perform under these Terms or by law or in the use or enforcement of any right acquired by QEDIT under these Terms or by law shall not be considered to be a waiver or estoppel of such right.

QEDIT may assign or transfer its rights under these Terms, or any part thereof, without the need for any consent. You acknowledges that QEDIT may, in its sole discretion, contract with various third parties for the purpose of those third parties providing services contained in the Platform and that in such circumstances You will be subject to the terms of use of those third parties as amended from time-to-time.

9. LAW AND JURISDICTION.
These Terms will be governed by, construed and enforced in accordance with the laws of Israel, without regard to its conflicts of law principles or provisions. Disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Tel-Aviv – Yafo, Israel.
